TERMS AND CONDITIONS OF BUSINESS

1. Introduction & Definitions

These Terms and Conditions (“Terms”) govern the provision of web design, development, app development, marketing, and maintenance services by Hira Saeed trading as UXHM (“we,” “us,” or “our”) to you (“the Client”).

  • “The Client” means the person or entity requesting the Services.
  • “Services” means the specific work to be performed (e.g., Website Build, App Development, SEO, Monthly Maintenance) as described in the Invoice or Proposal.
  • “The Project” means the body of work being undertaken.
  • “Sole Trader” refers to the legal status of the business. UXHM is a trading name of Hira Saeed, based in Nottingham, United Kingdom.

By accepting a quote, making a payment, or using our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

2. Project Acceptance & Quotes

2.1. Quotes

All quotes provided by UXHM are valid for 30 days from the date of issue.

2.2. Acceptance

A project is deemed accepted when the Client pays the required Deposit or confirms acceptance in writing (via email).

2.3. Scope

The scope of the Project is strictly limited to what is set out in the accepted Quote. Any additional features, pages, or design changes requested after acceptance will be treated as a “Variation” and may incur additional fees.

3. Payment Terms (Design & Build Projects)

3.1. Deposits

  • Small Projects (< £1,000): A 50% deposit is required before work commences.
  • Large Projects (> £1,000): A 40% deposit is required to start, 30% upon design approval, and 30% before launch.

3.2. Final Payment

The remaining balance must be paid in full before the website or app is made live on the Client’s domain or handed over.

3.3. Late Payment

We reserve the right to charge interest on overdue invoices at a rate of 8% plus the Bank of England base rate, pursuant to the Late Payment of Commercial Debts (Interest) Act 1998.

4. Client Obligations

4.1. Content Supply

Unless you have hired us for copywriting, you are responsible for supplying all text, images, and media. We are not responsible for delays caused by your failure to supply content.

4.2. Permissions

You warrant that you own or have permission to use all text, images, and media you provide. You agree to indemnify UXHM against any claims of copyright infringement arising from materials you supply.

4.3. Approval

You agree to review work within a reasonable timeframe (5 business days). If no feedback is received, work may be deemed accepted.

5. Design & Development Process

5.1. Revisions

Our standard pricing includes two (2) rounds of revisions during the design phase. Additional revisions or significant design changes after the design has been signed off will be charged at our standard hourly rate.

5.2. Browsers & Devices

We test our work on current versions of major browsers (Chrome, Safari, Firefox, Edge). We do not guarantee backward compatibility with obsolete browsers (e.g., Internet Explorer).

5.3. Mobile Apps

For mobile apps, we cannot guarantee approval by the Apple App Store or Google Play Store, as their policies are subject to change. We will, however, follow all standard guidelines during development.

6. Intellectual Property (IP)

6.1. Transfer of Rights

Upon full payment of all fees, UXHM grants the Client full ownership of the finished website design and visual assets.

6.2. Our Rights

UXHM retains the right to use the finished work in our portfolio and for marketing purposes.

6.3. Code Libraries

Any third-party software, plugins, or open-source code used in the project remain the property of their respective creators and are used under license.

7. Monthly Maintenance & Management (Schedule A)

The following terms apply specifically to clients on the “Safe Hands” (£50/mo) and “Digital Presence” (£100/mo) plans.

7.1. Scope of Plans

  • “Safe Hands” (£50/mo): Includes hosting, SSL renewal, daily backups, monthly plugin/theme updates, and uptime monitoring. Includes up to 30 mins of minor text/image changes per month.
  • “Digital Presence” (£100/mo): Includes all of the above plus 2x weekly social media posts (static images & scheduling).
  • Exclusions: Does not include functionality upgrades, malware removal (unless restored via backup), or fixing errors caused by Client interference.

7.2. Payment & Suspension

  • Fees are due on the 1st of every month via Standing Order or Direct Debit.
  • Failure to Pay: If payment fails, you have a 7-day grace period. If unpaid after 7 days, services (including hosting) will be suspended immediately.
  • Re-activation Fee: A £50 administrative fee applies to re-activate a suspended account.

7.3. Security & Hacking (Limitation of Liability)

  • No Guarantee: While we use industry-standard security, the internet is not 100% secure. UXHM does not guarantee that your site will be immune to hacking, viruses, or malware.
  • Breach Response: In the event of a hack, we will attempt to restore the site from the latest clean backup. If the backup is compromised or manual cleaning is required, this is billable work outside the monthly fee.
  • Data Loss: UXHM is not liable for any data loss (orders, emails, content) resulting from server failure or security breaches. The Client is advised to keep offline records of critical business data.

7.4. Cancellation

  • You may cancel your plan with 30 days’ written notice.
  • Upon cancellation, we will provide you with your website files (if requested) but will cease all hosting and backups.

8. Limitation of Liability

8.1. General

UXHM is a Sole Trader business. To the maximum extent permitted by law, our liability for any claim arising out of this agreement shall be limited to the total amount paid by the Client for the specific project or service in the preceding 3 months.

8.2. Consequential Loss

Under no circumstances shall UXHM be liable for any indirect or consequential loss, including but not limited to loss of profit, loss of business, loss of revenue, or loss of data, even if advised of the possibility of such damages.

8.3. Third-Party Failures

We are not responsible for downtime or interruptions caused by third-party providers (e.g., Hosting companies, ISP failures, Google API changes).

9. Termination

  • Either party may terminate this agreement immediately if the other party commits a material breach of these Terms (e.g., failure to pay).
  • In the event of termination by the Client during a project, the Client will be invoiced for all work completed up to that date. Deposits are non-refundable.

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
